TERMS OF SERVICE

Last updated October 9, 2026

AGREEMENT TO OUR LEGAL TERMS

We are Hauben Labs, Inc. ("Company," "we," "us," "our").

We operate the website https://sofft.net (the "Site"), the mobile application Sofft (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Sofft is a mobile social application, used for dating and friendship, designed to help users build connections based on personality rather than appearance. User profiles are built around written and voice prompts, stated interests, and photos — the Service does not permit photos showing identifiable human faces (with one exception, described in Section 8, once both users in a match have said yes to a date), and uploaded photos are automatically screened to enforce this policy before becoming visible to others. Users browse and match with other users through Sofft's Discover feature, and communicate with matches through in-app messaging, including text, photos, and voice messages. The Service is available to individual users 18 years of age or older, and offers an optional paid subscription, Sofft Premium, that unlocks additional features.

You can contact us by email at sofftsupport@gmail.com.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Hauben Labs, Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will notify users of material changes to these Terms through an in-app notice or by updating the "Last updated" date at the top of this document, prior to the changes taking effect. Continued use of the Service after updated Terms take effect constitutes acceptance of the changes.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

TABLE OF CONTENTS

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "Prohibited Activities" section below, we grant you a non-exclusive, non-transferable, revocable license to: access the Services; and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: sofftsupport@gmail.com. We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Submissions

By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

Copyright infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately refer to the "Digital Millennium Copyright Act (DMCA) Notice and Policy" section below.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. PURCHASES AND PAYMENT

We accept the following forms of payment: Apple App Store In-App Purchase, and Google Play In-App Purchase.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. All payments shall be in US dollars. We may change prices at any time; price changes will be communicated to you in accordance with applicable law before they take effect.

We reserve the right to refuse any order placed through the Services, and to correct any errors or mistakes in pricing, even if we have already requested or received payment.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method (via the Apple App Store or Google Play, as applicable) on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel. The length of your billing cycle depends on the subscription plan you choose — Sofft Premium is offered on Monthly, Yearly, and Lifetime terms; Lifetime is a one-time purchase and does not renew.

Cancellation

All purchases are non-refundable. You can manage and cancel your subscription at any time through your App Store or Google Play account settings — not through the Sofft app itself.

Cancellation takes effect at the end of the current billing period; you'll retain access to Premium features until then. Sofft does not process refunds directly — any refund requests must be submitted to the Apple App Store or Google Play in accordance with their own refund policies. If you have any questions or are unsatisfied with our Services, please email us at sofftsupport@gmail.com.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

7. SOFTWARE

We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement ("EULA"), the terms of the EULA will govern your use of the software. If such software is not accompanied by a EULA, then we grant to you a non-exclusive, revocable, personal, and non-transferable license to use such software solely in connection with our Services and in accordance with these Legal Terms. Any software and any related documentation is provided "AS IS" without warranty of any kind. You may not reproduce or redistribute any software except in accordance with the EULA or these Legal Terms.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

9. CONTENT MODERATION, REPORTING, AND SAFETY

We use automated tools and human review to moderate content on Sofft, including face detection and explicit-content detection. The automated checks on photos are provided by Google Cloud Vision, a third-party AI image-analysis service that receives the photos you upload or send for this purpose. Sofft has zero tolerance for objectionable content and abusive users. Objectionable content includes, without limitation, content that is illegal, sexually explicit, harassing, hateful, threatening, defamatory, or that depicts identifiable human faces in violation of our policy.

Sofft's face-detection system works by analyzing an uploaded photo for the statistical likelihood that a human face is present, and returns a single confidence score used solely to decide whether to reject the photo. Sofft does not extract, analyze, store, or otherwise use facial geometry, facial landmarks, or any other data capable of identifying a specific individual; photos are never compared against one another or against any database to determine who a person is. While we run this automated screening on every uploaded photo, we cannot guarantee it will catch every violation. You are solely responsible for ensuring that the photos and other content you upload comply with this policy, and Sofft is not responsible for any face-identifiable content a user uploads in violation of these Terms, including any resulting exposure of that content to other users.

Sofft provides an in-app mechanism to report and block any user directly from their profile or a conversation. Reports involving safety-critical concerns — including suspected underage users — result in immediate, automatic suspension of the reported account pending review. Accounts that accumulate multiple reports are similarly suspended pending review. Suspended accounts are removed from Discover and cannot form new matches while under review. Blocking another user immediately and permanently prevents further contact between both accounts.

We reserve the right to warn, suspend, or permanently ban any user found to violate these Terms or engage in behavior that endangers other users, at our sole discretion and without prior notice.

10. USER GENERATED CONTRIBUTIONS

The Services may invite you to submit content, including but not limited to text, photos, voice recordings, prompts, and messages ("Contributions"). Contributions may be viewable by other users of the Services. When you create or make available any Contributions, you represent and warrant that: the creation, distribution, and display of your Contributions do not infringe the rights of any third party; you own or have the necessary rights and licenses to your Contributions; you have any necessary consent from identifiable individuals depicted in your Contributions; your Contributions are not false, inaccurate, or misleading, and do not violate any applicable law or these Legal Terms.

Voice recordings you submit must be of your own voice. Do not record or upload another person's voice (including people speaking in the background) without their consent, and do not record any conversation you are not legally permitted to record.

11. CONTRIBUTION LICENSE

By submitting Contributions to the Services, you retain full ownership of your Contributions. You grant Sofft a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to host, store, use, display, reproduce, and distribute your Contributions solely within and in connection with the operation, promotion, and improvement of the Service. This license ends when you delete your Contributions or your account, except to the extent your Contributions have already been shared with other users who have not deleted them.

We are not liable for any statements or representations in your Contributions. We have the right, in our sole discretion, to edit, redact, remove, or refuse to display any Contributions at any time, for any reason, without notice, and have no obligation to monitor your Contributions in advance.

Voice memos. By recording and uploading a voice memo, you confirm that it is your own voice and you consent to Sofft storing it and playing it to the people you choose to share it with, as described in our Privacy Policy. Other users may be able to copy, record, or save what they hear, and Sofft is not responsible for what other users do with content you choose to share. We have no obligation to monitor, keep, back up, or restore any voice memo, and we may remove a voice memo at any time, including as part of routine clean-up of stored files. Deleting a voice memo or your account removes it from the Service as described in the Privacy Policy, but we cannot recall copies that other users have already made.

12. MOBILE APPLICATION LICENSE

Use License

If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control, strictly in accordance with these Legal Terms. You shall not: (1) except as permitted by applicable law, decompile, reverse engineer, or disassemble the App; (2) modify, adapt, or create derivative works from the App; (3) violate any applicable laws in connection with your use of the App; (4) remove or obscure any proprietary notice on the App; (5) use the App for any revenue-generating endeavor not endorsed by us; (6) make the App available for simultaneous use by multiple devices or users; or (7) use the App to build a competing product or service.

Apple and Android Devices

The following applies when you access the Services via the Apple App Store or Google Play (each an "App Distributor"): the license granted is limited to a non-transferable license to use the application on a device using the applicable operating system, in accordance with the App Distributor's own terms of service; each App Distributor has no obligation to furnish maintenance or support for the App; you represent that you are not located in a country subject to a US government embargo and are not on any US government list of prohibited parties; and each App Distributor is a third-party beneficiary of this section and may enforce it against you.

13. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to other websites ("Third-Party Websites") or third-party content. Such Third-Party Websites and content are not investigated, monitored, or checked for accuracy by us, and we are not responsible for them. If you access a Third-Party Website, you do so at your own risk, and these Legal Terms no longer govern. Any purchases made through Third-Party Websites are solely between you and that third party.

14. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: monitor the Services for violations of these Legal Terms; take appropriate legal action against violators, including reporting to law enforcement; restrict, limit, or disable any Contributions in our sole discretion; remove content that is excessive in size or burdensome to our systems; and otherwise manage the Services to protect our rights and facilitate proper functioning.

15. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy: https://sofft.net/privacy-policy.html. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States; if you access the Services from another region, you consent to your data being transferred to and processed in the United States.

16. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE AND POLICY

Notifications

We respect the intellectual property rights of others. If you believe that any material available through the Services infringes upon any copyright you own or control, please notify our Designated Copyright Agent using the contact information below (a "Notification"). Notifications should meet the requirements of DMCA 17 U.S.C. § 512(c)(3), including: a physical or electronic signature of a person authorized to act on behalf of the copyright owner; identification of the copyrighted work claimed to be infringed; identification of the material claimed to be infringing and its location; your contact information; a good-faith statement that the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the owner.

Counter Notification

If you believe your own material was removed by mistake or misidentification, you may submit a written Counter Notification meeting the DMCA's requirements. If valid, we will restore the material unless we receive notice that the original complaining party has filed a court action.

17. TERM AND TERMINATION

These Legal Terms remain in full force while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to the Services to any person for any reason, including breach of these Legal Terms. We may terminate your account and delete your content at any time, without warning, in our sole discretion.

If we terminate or suspend your account, you are prohibited from registering a new account under your name or any other name. We reserve the right to pursue appropriate legal action, including civil, criminal, and injunctive redress.

18. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time without notice, and have no obligation to update information on the Services. We cannot guarantee the Services will be available at all times, and will not be liable for any loss caused by downtime or discontinuance of the Services.

19. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles.

20. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute ("Dispute"), the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at adr.org. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses deemed excessive. The arbitration may be conducted in person, through submission of documents, by phone, or online. Except where otherwise required by the AAA's rules or applicable law, arbitration will take place in New Castle County, Delaware.

If for any reason a Dispute proceeds in court rather than arbitration, it shall be commenced in the state and federal courts located in New Castle County, Delaware, and the parties consent to jurisdiction and venue there.

Any Dispute must be commenced within one (1) year after the cause of action arose, or it is permanently barred.

Restrictions

Any arbitration shall be limited to the Dispute between the parties individually. No arbitration shall be joined with any other proceeding, brought on a class-action basis, or brought in a representative capacity on behalf of the general public.

Exceptions

The following are not subject to informal negotiation or arbitration: disputes seeking to enforce or protect intellectual property rights; disputes arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and any claim for injunctive relief.

21. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information on the Services at any time, without prior notice.
